Terms Of Service

To become a Member, you must agree to the terms and conditions of this Agreement and maintain an active business checking account. You may only use the Website if you meet the following criteria:

• Are capable of forming legally binding contracts;
• Are over the age of 18;
• Are a currently licensed pharmacy owner;
• Are not temporarily or indefinitely suspended from the Site;
• Operate a pharmacy that is actively licensed and in good standing in your respective state(s), with no knowledge of any pending disciplinary actions.

If you do not meet these qualifications, you are prohibited from using or attempting to use the Services.

1SaleRx will not process any requests from you to buy, transfer, or sell Prescription Drugs until you have been approved as a Member.

As a Buyer, you authorize 1SaleRx to charge your bank account for the purchase of Prescription Drug(s), including shipping, processing, and other related charges. As a Seller, you authorize 1SaleRx to charge your bank account a nuisance fee if you violate any term of this Agreement.

To access the Site and use the Services, you will need a username and password. You are solely responsible for maintaining the security of your account, including your username and password, and for all activities that occur under your account. You must not share your password with any other person and agree to comply with our password policy. Members are required to notify 1SaleRx of any change in their bank account at least five business days in advance to ensure uninterrupted ACH authorization.

You are responsible for your use of the Service and any activities conducted through your account. The personal information you provide is governed by our Privacy Policy. You acknowledge that 1SaleRx may establish policies and practices regarding the use of the Service, which may include deleting or removing content or data, terminating inactive accounts, or implementing other policies in 1SaleRx’s business interest. You further acknowledge that 1SaleRx reserves the right to modify these practices and limits at any time, at its sole discretion, with or without notice.

To register for the Service, you must meet the following requirements:

• Be at least 18 years of age and capable of entering into a legally binding contract;
• Be a currently licensed pharmacist in good standing;
• Not have been previously barred from receiving 1SaleRx’s Services under the laws of the United States or other applicable jurisdictions.

During registration, you must provide personal information, legal business information, and bank account details. You may also be required to upload related documents to verify your personal and business identity. Once registered and signed in to our Services, you are no longer anonymous to 1SaleRx.

By registering, you agree to:

• Provide factual, accurate, current, and complete information as requested during the registration process;
• Maintain and promptly update your registration and profile information to ensure its accuracy and completeness at all times.

Providing false, untrue, inaccurate, or incomplete information gives 1SaleRx the right to suspend or terminate your membership and refuse any current or future use of 1SaleRx Services, or any portion thereof.

The Service is not available to members who are temporarily or permanently suspended. 1SaleRx reserves the right to refuse access to the Service or terminate any user’s account at its sole discretion, for any reason or no reason at all. You are responsible for maintaining the confidentiality of your password and account and will be fully liable for all activities that occur under your account. You agree to immediately notify 1SaleRx of any unauthorized use of your account or any other breach of account security. 1SaleRx will not be liable for any loss or damage resulting from your failure to comply with this section.

Our services are subject to applicable federal and state laws governing the practice of pharmacy, telehealth, and prescription drug distribution within the United States.

Due to variations in state-specific regulations, licensing requirements, and telehealth restrictions, our services are not currently available in certain jurisdictions, including but not limited to:

Alaska, Arizona, Colorado, Connecticut, Hawaii, Idaho, Louisiana, Maine, Massachusetts, Minnesota, Nebraska, Nevada, North Carolina, Oregon, Rhode Island, and Vermont.

We continuously evaluate regulatory requirements and may expand service availability as additional licenses, registrations, or approvals are obtained.

By using this website, you acknowledge and agree that:

• We may restrict or deny service based on your geographic location.
• Availability of services is contingent upon compliance with applicable state laws.
• We do not provide services in jurisdictions where such services would violate applicable pharmacy, medical, or telehealth regulations.
• You are responsible for ensuring that your use of our services complies with the laws of your state of residence.

If you attempt to access our services from a restricted jurisdiction, we reserve the right to block access, cancel orders, and issue refunds where applicable.

You acknowledge and agree that 1SaleRx Services and any associated software used in connection with our Services contain proprietary and confidential material protected by applicable intellectual property laws and other regulations. Additionally, you acknowledge that any Content included in advertisements or information presented through our Services or by advertisers is protected by copyrights, trademarks, patents, or other proprietary rights and laws. Unless expressly permitted by applicable law or authorized by 1SaleRx or the relevant licensor, you agree not to alter, modify, lease, rent, loan, sell, distribute, transmit, broadcast, publicly perform, or create derivative works based on 1SaleRx Services, in whole or in part.

1SaleRx grants you a personal, non-transferable, and non-exclusive right and license to use the object code of our Service. You agree not to, and shall not permit any third party to, duplicate, alter, modify, create, or plagiarize work from, reverse engineer, reverse assemble, or attempt to discover any source code, sell, assign, sublicense, grant a security interest in, or otherwise transfer any rights in the Service. Furthermore, you agree not to modify or alter the Service in any way or use modified versions of the Service, including for the purpose of gaining unauthorized access to our Services. You also agree to access our Services only through the interface provided by 1SaleRx for such purposes.

You agree not to use the 1SaleRx Services to:

• Contact other 1SaleRx members directly;
• Invite contact with other 1SaleRx members;
• Solicit sales outside of the 1SaleRx platform;
• Initiate or engage in transactions (purchases or sales) outside of 1SaleRx.

1SaleRx is not liable for any damages or lost profits resulting from direct contact between 1SaleRx users or from transactions conducted outside of 1SaleRx, including those that originate on 1SaleRx and are completed offline.

You agree not to post, sell, or buy any controlled substances on the Site. Violation of this rule will result in temporary or permanent dismissal from the Site.

1SaleRx prohibits the resale of Prescription Drugs previously purchased on the Site to any other member within 90 days of the last purchase date. Violation of this rule will result in temporary or permanent dismissal from the Site.

The posting and sale of items acquired through government discount programs (e.g., 340B) is strictly prohibited. Violation of this rule will result in temporary or permanent dismissal from the Site.

You agree not to post, sell, or buy any Prescription Drugs on the Site that have been recalled or quarantined by the manufacturer or a regulatory agency. Violation of this rule will result in temporary or permanent dismissal from the Site.

For transactions, the Buyer’s name and address information is provided to Sellers solely for the purpose of shipping the purchased Prescription Drug(s) and may not be used for any other purpose, whether related to the shipment or otherwise. As a Seller, you agree not to include in your shipment to the Buyer any promotional or commercial materials not provided or approved by 1SaleRx. This includes, but is not limited to, materials such as website announcements, invitations to visit websites other than 1SaleRx, catalogs, business cards, business reply cards, bookmarks, coupons, flyers, solicitations, or other marketing or advertising materials. Sellers must contact Buyers exclusively through the Site.

You are solely responsible for ensuring the accuracy of all information, posts, data, text, comments, or other materials (“Content”) that you upload, post, publish, transmit, or display through the Service. Content, postings, or use of the Service that is illegal or prohibited by 1SaleRx is strictly forbidden. 1SaleRx reserves the right to investigate, pursue legal action, or take any other actions it deems necessary to manage the Service, your Content, postings, or use, including retaining such information for investigative purposes.

You are responsible for fulfilling orders with the exact Prescription Drug(s) as listed in your posting. The fulfillment of confirmed orders, including the shipment and delivery of Prescription Drugs, is entirely your responsibility. 1SaleRx is not liable for any errors in the posting or pricing of Prescription Drugs and bears no responsibility for such mistakes. You agree to honor the price posted when fulfilling an order. 1SaleRx may, at its sole discretion, waive any Cancellation Fee. Repeated cancellations of orders may result in temporary suspension or permanent removal from the marketplace.

You may list Prescription Drugs for sale on the Site, assigning a price and providing required details, including the National Drug Code (NDC), lot number, expiration date, per-unit price, and package condition, in compliance with our Terms. You confirm that the item has been stored and handled according to the manufacturer’s temperature and storage requirements, was not purchased through government discount programs or preferred pricing, is not restricted to a limited distribution network, and was acquired from a manufacturer or wholesaler in compliance with the 2013 Drug Supply Chain Security Act (DSCSA). You may edit any open field of an active posting or remove the posting from the Site as needed.

Upon request from the Buyer, 1SaleRx, or any governmental regulatory agency, you must provide the pedigree (e.g., wholesaler invoice) for each item posted and sold on the Site, including the Transaction History (Statement of Origin), which traces the drug from its point of manufacture through all transactions until it reaches the Buyer. This documentation must be provided within the time required by applicable state or federal law or within 48 hours, whichever is shorter. You agree that all items posted for sale in the marketplace comply with the DSCSA and any applicable regulations in effect. Failure to provide a requested pedigree and/or Transaction History may result in termination of membership at 1SaleRx’s sole discretion.

As a user of 1SaleRx Services, all information, including items, messages, offers, purchases, sales, and other materials (“Content”) that you post, transmit, or submit through our Services is intended to be shared with other users. By submitting Content to us, you represent and warrant that you own all rights to the Content or have the legal authority to grant the license described below, including proper permissions and consents for any personally identifiable information provided through the 1SaleRx Service(s).

By posting or transmitting User Content, you grant 1SaleRx and its affiliated companies a nonexclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to copy, display, transmit, perform, distribute, store, modify, create derivative works from, and otherwise use your User Content in connection with the operation of the Service, other 1SaleRx products or services, or their promotion, advertising, or marketing, in any form, medium, or technology now known or later developed. This includes, without limitation, publishing your User Content on the Internet or Third Party Services such as social media networks, sharing it with blogs, and allowing other users to share posts containing your User Content. You further represent and warrant that your Content does not infringe on the intellectual property, privacy, publicity, or other legal rights of any third party.

1SaleRx is not obligated to review Content posted by users on our Services, though we reserve the right to do so, with or without notice, to address or prevent alleged violations of this Agreement or applicable laws. We reserve all defenses provided by the Communications Decency Act and other relevant laws, rules, or regulations. 1SaleRx may refuse to accept or display Content and may remove or delete any portion of Content at any time.

You understand that 1SaleRx is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to user Content, and such Content is not the responsibility of 1SaleRx. You acknowledge that you may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive any legal or equitable rights or remedies you may have against 1SaleRx and its affiliates, officers, directors, employees, agents, partners, and licensors with respect to such Content.

All Content you upload is considered non-confidential by 1SaleRx and will be treated as public information. You agree that such Content is intended to be shared with other users of our Services and third parties at 1SaleRx’s sole discretion. 1SaleRx has no control or liability over how other users or third parties use your Content. You understand and agree that 1SaleRx will not treat your Content as confidential and waive any claims of confidentiality. Additionally, any questions, comments, suggestions, ideas, feedback, or other information about the Site or Service (“Contributions”) provided by you to 1SaleRx are non-confidential, and 1SaleRx is entitled to use and disseminate these Contributions for any purpose, commercial or otherwise, without acknowledgment or compensation to you. If you do not agree that your Content will be treated as public and non-confidential, you must not use the Service.

By using 1SaleRx’s marketplace service, you acknowledge and accept certain risks. 1SaleRx is not a party to, nor does it provide a warranty for, any transaction between Buyer and Seller, does not hold title to any items, and is neither the Buyer nor Seller of Prescription Drugs in any transaction. As a Buyer or Seller, you understand and agree that you assume all risks associated with purchasing or selling items on the Service.

As a Buyer, you are solely responsible for reviewing and verifying the Prescription Drug posting before making an offer or purchase. The contract for the purchase is strictly between you and the Seller, not 1SaleRx.

Buyers may only use payment methods approved by 1SaleRx, specifically Automated Clearing House (ACH). 

When a Buyer offers to purchase Prescription Drugs from a Seller and the offer is accepted, it constitutes a binding contract. 1SaleRx is not an auctioneer, Seller, or carrier but provides services such as pricing, posting, and shipping assistance. 1SaleRx may delay any purchase to detect fraud or protect users from illegal or wrongful activities. All purchases are final, with no returns, refunds, cancellations, or retractions permitted, except in cases where (a) the Buyer cancels an order before the Seller confirms it, or (b) the purchase is canceled as explicitly permitted by 1SaleRx or, where applicable, the Seller.

1SaleRx will provide the Seller with a prepaid shipping label to send the Prescription Drug to the Buyer, though 1SaleRx reserves the right to discontinue providing labels to any or all users at any time and for any reason. The Seller must ship the Prescription Drug within three (3) business days of receiving the label. If the Seller fails to ship, 1SaleRx will notify the Seller and provide a set period for shipping before the order is canceled. The Seller must use only the shipping label provided by 1SaleRx and is fully responsible for the parcel’s contents, compliance with all terms, and adherence to the shipping carrier’s conditions. If the Prescription Drug is lost, damaged, late, or does not arrive as expected, the Buyer must report the issue to 1SaleRx within 72 hours after delivery, as determined by tracking information.

This section governs the fees applicable to Members using the 1SaleRx platform and outlines the obligations of both parties with respect to fee management, notification, and payment processing.

Members are required to notify 1SaleRx of any change to their bank account at least five (5) business days in advance of the intended change. This requirement ensures the uninterrupted processing of ACH transactions and the continued integrity of payment operations on the platform. Failure to provide timely notice may result in processing delays or the application of additional charges as described below.

For the first one hundred and eighty (180) days following a Seller's registration on the platform, 1SaleRx will charge a service fee equal to one percent (1%) of the total value of the products sold through the Service during that period. This fee is automatically deducted from the applicable transaction proceeds and constitutes full compensation to 1SaleRx for the use of its marketplace infrastructure during the introductory period.

1SaleRx reserves the right to modify the fee structure described in this section at any time, including prior to the expiration of the one hundred and eighty (180) day introductory period. Any such modification shall be communicated to affected Members in accordance with the notice requirements set forth herein.

1SaleRx undertakes to notify all affected Members of any fee changes no less than fourteen (14) calendar days prior to the effective date of such changes. Notice will be provided through the email address associated with the Member's account and/or through a prominent announcement posted on the Site. Continued use of the Service following the effective date of a fee change constitutes the Member's acceptance of the revised fee schedule.

1SaleRx may assess an additional processing fee in the event that a Member's bank account is found to be invalid, closed, or to contain insufficient funds at the time a transaction or debit is attempted. Such additional fees are intended to cover administrative and processing costs incurred by 1SaleRx as a result of the failed transaction. Members will be notified of any such fees and are responsible for resolving any account deficiencies promptly to avoid further charges or suspension of Services.

You acknowledge the Service contains images and descriptions that are third party content (“Service Content”) that is protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. 1SaleRx retains all rights to Our intellectual property. You agree you will not copy, modify, scrape, distribute, create derivative works, or the like, or do or perform any other action with the Service Content or 1SaleRx intellectual property that you are exposed to through our Service not explicitly authorized by this Agreement. Any use of the Service or the Service Content other than as specifically authorized herein is strictly prohibited. Any rights not expressly granted herein are reserved by 1SaleRx. Other company, product, and service names and logos used and displayed via the Service may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to 1SaleRx.

1SaleRx may provide you, or share your content with, certain third-party services or providers (collectively, “Third Party Services”), which may include links to external sites, email, telephone correspondence, or other offers outside the 1SaleRx network. These Third Party Services are provided “AS IS” without any indemnification, support, or warranty of any kind. This Agreement does not govern your use of these Third Party Services.

You are responsible for deciding whether to access or use Third Party Services. Where applicable, you may opt out of Third Party Services offered outside the 1SaleRx network or choose not to use them at any time. We reserve the right to suspend Third Party Services at our discretion. Before using any Third Party Service or sharing information with it, you should review its terms and privacy policies, as you may be granting the service operator permission to use your information in ways not covered by this Agreement. 1SaleRx is not responsible for and does not endorse any features, content, advertising, products, or other materials on or available from Third Party Services.

1SaleRx will not be liable for (1) any items or content on the Service posted by third parties, other users, or at the direction of users (collectively, “Third Party Materials”), or (2) any errors, omissions, loss, or damage resulting from such Third Party Materials. You acknowledge that 1SaleRx is not obligated to review, screen, or inspect Third Party Materials, though we reserve the right to do so and may remove Third Party Materials at our sole discretion. You agree to bear all risks associated with the use, reliance, condition, accuracy, completeness, or usefulness of Third Party Materials.

You expressly acknowledge, understand, and agree that 1SaleRx, along with our subsidiaries, affiliates, officers, employees, agents, partners, and licensors, shall not be liable to you for any punitive, indirect, incidental, special, consequential, or exemplary damages. This includes, but is not limited to, damages related to the loss of profits, goodwill, use, data, or other intangible losses, even if we have been advised of the possibility of such damages.

Such damages may arise from:

• The use or inability to use our service;
• The cost of procuring substitute goods and services;
• Unauthorized access to or alteration of your transmissions or data;
• Statements or conduct of any third party on our service;
• Any other matter related to our service.

As a user of the 1SaleRx website, you agree to indemnify and hold 1SaleRx, its parent companies, subsidiaries, affiliates, officers, directors, attorneys, agents, and employees harmless from any claim or demand, including all liabilities, costs, and expenses (including reasonable attorneys’ fees), incurred by 1SaleRx or its parent companies, subsidiaries, affiliates, officers, directors, agents, attorneys, or employees. This includes claims arising from any third-party or government agency actions related to or concerning your actions or omissions on this site, including but not limited to claims resulting from your negligence or gross negligence, breach of contract, or violation of any laws or regulations.

We may investigate complaints and violations of our policies. You agree to fully cooperate with such investigations, including, but not limited to, providing specific information regarding your right to a Prescription Drug, the source of a Prescription Drug, your acquisition of a Prescription Drug, and the price you paid for a Prescription Drug.

You agree that 1SaleRx may report any activity it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other relevant third parties. 1SaleRx will cooperate to ensure that violators are prosecuted to the fullest extent of the law. You also agree to fully cooperate with all appropriate legal, regulatory, and third-party inquiries and/or investigations. Upon request by the relevant authority, 1SaleRx will provide all transaction history pertaining to the inquiry and/or investigation.

The Site may be unavailable daily from 9:00 AM to 11:00 AM UTC for updates and modifications. During this time, the Site may be temporarily inaccessible. 1SaleRx is not responsible for any unsold Prescription Drugs resulting from these regular Site updates.

You may cancel or terminate your account, associated email address, or access to our Services by submitting a cancellation or termination request to [email protected].

1SaleRx reserves the right to, without prior written notice, immediately suspend, terminate, discontinue, or limit your account, any associated email address, and access to any of our Services. The reasons for such termination, discontinuance, suspension, or limitation of access include, but are not limited to:

• Any breach or violation of our Agreement or any other incorporated agreement, regulation, or guideline;
• Requests from law enforcement or other governmental agencies;
• Discontinuance, alteration, or material modification to our Services, or any part thereof;
• Unexpected technical or security issues or problems;
• Engagement by you in any fraudulent or illegal activities;
• Nonpayment of any associated fees owed by you in connection with your 1SaleRx account Services.

Furthermore, you agree that all terminations, suspensions, discontinuances, or limitations of access for cause are made at our sole discretion, and we shall not be liable to you or any third party for the termination of your account, associated email address, or access to any of our Services.

We may update these Terms from time to time at our sole discretion. We will notify you of any material changes by posting the updated Terms on the Site or through other communication channels. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms.
